What is Parallels announcing?
Parallels is announcing the acquisition of the Ensim Pro, a server control panel for primarily Windows, but also Linux servers.
What is Parallels acquiring?
Parallels is acquiring the Ensim Pro product as well as the rights to use the Ensim Pro name for a limited period. Ensim, the company, will continue to exist as a stand-alone entity and will compete with Parallels.
Why did Parallels acquire Ensim Pro?
Parallels believes that customers will benefit from this acquisition. Existing Ensim customers will benefit from having access to a wider array of solutions and extensive resources which are made possible through a company such as Parallels.
Parallels will integrate Ensim Pro with other Parallels products through its OPEN FUSION initiative. This will provide service providers who utilize the Parallels technology platform with a wider range of solutions for automating the operational aspects of service delivery.
Further, integration with the APS standard will provide ISVs utilizing this standard with an even larger base of end users which can utilize their software solutions.
Why did Ensim sell Ensim Pro?
We cannot speak for the seller in general, but in general for this type of transaction to happen, the buyer has to see more intrinsic value in the asset than the seller. Parallels is focused on the hosting industry and sees a lot of strategic value in acquiring the Ensim Pro product and including it within the OPEN FUSION platform.
What are the terms of the acquisition?

What will happen to Ensim Pro?
Parallels will maintain Ensim Pro in its current form. Parallels and Ensim will work together to ensure a smooth transfer of knowledge and expertise.
What will happen to the Ensim Pro product name?
In the short term Ensim Pro will maintain its current branding. Over the next few months, the logo and name will be brought under the Parallels product umbrella.
Will Parallels continue to provide future releases to Ensim Pro?
We have not started planning future releases of the Ensim Pro. Parallels will incorporate customer requests and items in the roadmap to evaluate future Ensim Pro releases within the Parallels development process.
Will Ensim Pro pricing change?
Parallels will maintain two price lists in order to minimize the impact of the acquisition on current Ensim customers and partners. Existing Ensim Pro customer contracts will be honored for all existing licenses and support contracts. Proposals made prior to the acquisition, but not signed prior to the close date will be subject to review.
In the near future, the Ensim Pro prices will be incorporated into the Parallels online store. Certain SKUs may be modified to more closely match domain counts and service arrangements that are consistent with Parallels Plesk.
Will Parallels prices change?
Parallels prices will not change as a direct result of this acquisition.
What will happen with existing maintenance and support contracts?
Parallels will honor existing customer maintenance and support contracts. Services engagements that are underway/planned will continue according to the timelines established prior to the acquisition.
Will there be any changes to support?
Ensim customers will continue to receive support form their existing support channels. During the transition period, the support responsibilities will be transferred from Ensim to Parallels. Customers will be notified with the timing and details prior to the actual transition. The goal is to transition customers without impacting support incidents that were already in the queue prior to the transition.
Where can existing customers go to download product patches, release notes, and similar items?
Ensim Pro customers can get this information from the Ensim website. During the transition period, customers will be informed as materials are moved to the Parallels website.
What does this mean for Ensim technology and strategic partners?
Ensim Pro business partners will now have the possibility to leverage a larger selection of products and distribution reach. Ensim partners may contact Parallels to inquire about individual contacts and agreements.
Should existing Ensim Pro distribution partners continue marketing Ensim Pro?
Yes. Please continue marketing Ensim Pro solutions as you did prior to the acquisition. Parallels does not want to affect your operation in any way.
How should Ensim Pro distributors communicate this to their customers?
You can point them to our press release and refer them to the Parallels website (www.parallels.com/pro).
