Benefits of the Acquisition

1. Hosting Expertise. Parallels acquires hosting technology as well as a talented development team to complement its industry leading efforts in the hosting infrastructure market. By merging technology from Positive Software with existing Parallels products, Parallels will be able to provide customers with even better hosting automation products.

2. ISV Application Reach. Integrated Software Vendors (ISVs) who package their software using the Application Packaging Standard will benefit by being able to reach several hundred thousand customers who use Positive Software products.

3. Combined Resources. Positive Software employees benefit by having access to the extensive set of resources available at Parallels including: a large pool of development expertise; extensive sales and marketing resources; industry-wide contacts.

4. Customer Choice. The acquisition will provide Positive Software customers with a larger variety of choices when selecting hosting automation solutions.

Impact To Existing Positive Software Customers

The goal of this acquisition is to provide zero interruption to the business operations of existing Positive Software customers. Positive Software's products will remain intact and supported. Existing maintenance contracts will be honored. Services engagements that are underway/planned will continue according to the timelines established prior to the acquisition.

Positive Software customers and partners will benefit from depth and breadth of solutions and resources offered by Parallels. As a rapidly growing company, Parallels provides the stability and support required by customers making an investment in software infrastructure solutions.

Over time, Parallels will incorporate the best features of Positive Software products with existing Parallels products to create highly advanced hosting technologies. Customers will have the option to upgrade to the new technologies. In some cases, additional licensing fees may apply.
